Financial Advisor

  • Prepare due diligence (Financial/ Accounting Due Diligence, Legal Due Diligence, and Business/Commercial Due Diligence);
  • Review financial reports;
  • Coordinate all transactions;
  • Prepare IPO transaction structure;
  • Advise on the capital structure;
  • Advise on Company management and governance;
  • Prepare financial projections;
  • Prepare business plans and strategies;
  • Prepare Non-KJPP valuation
  • Review prospectus preparation
  • Prepare presentation roadshow
  • Coordinate roadshows/marketing/PR campaigns
  • Review all agreements;
  • Prepare marketing strategies;
  • Act as time coordinator;
  • Act as IPO settlement coordinator;

All of the above Financial Advisor activities may be modified as required. However, Financial Advisor’s roles are only limited to the field of finance and capital markets. Financial Advisors are not involved in business or operations.

Underwriter

  • Prepare prospectus;
  • Coordinate the Stock Exchange, KSEI, and OJK Analyst presentation;
  • Coordinate roadshow / marketing / PR campaign;
  • Prepare syndication;
  • Coordinate pricing /trading /settlement / stabilization;
  • Review agreements.

Public Accountant

  • Audit financial reports & Public Accountant’s Opinions;
  • Prepare comfort letters to Issuers and Underwriters in accordance with the agreed format;
  • Review financial aspects of prospectus (MD&A, Summary of Important Financial Data and Statements of Payables, etc.).

Legal Consultant

  • Prepare legal opinions;
  • Prepare legal audit (conduct Due Diligence on legal aspects)
  • Identify compliance of regulations and laws in Indonesia;
  • Draft / prepare agreements;
  • Review legal aspects of the prospectus.

KJPP

  • Conduct appraisal of properties, plants and equipment
  • Prepare appraiser’s report

Notaries

Prepare all required legal deeds and agreements for the IPO process, including managing amendments to the Articles of Association and preparing Securities Administration Agreements and Underwriting Agreements.

BAE

  • Conduct administrative management of shares both in the primary market and in the secondary market.
  • Process applications for the purchase of shares during the public offering, as well as allotments and refunds.
  • Assist in the implementation of the ESA MESOP program (if any).

Printing and EO

Print Prospectus, Offering Circulars (if any), FPPS, DPPS, FKP, and Collective Share Certificates;
